Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and woo("woo", "we", "us"), operator of the woo marketplace (the "Service"). By creating an account, accessing, or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract. By using the Service you represent that you meet these requirements. The Service is not directed to children under 13, and we do not knowingly collect data from them.

2. Accounts

You must provide accurate information and keep credentials secure. You are responsible for all activity under your account. You may delete your account from Profile at any time. We may suspend or terminate accounts that violate these Terms or applicable law.

3. Marketplace role

woo is a venue that connects independent buyers and sellers. We are not the seller of items listed by third parties, we do not take title to goods, and we do not warrant listings. Transactions are between buyer and seller. Sellers are solely responsible for their listings, fulfillment, taxes, and customer service.

4. Fees

Buyers pay the listed price plus any applicable taxes and shipping. Sellers pay a platform fee of 6% per completed sale, plus payment processing fees passed through by Stripe. Seller subscriptions (Monthly / Annual) are billed in advance and are non-refundable except where required by law. Fees may change with 30 days' notice.

5. Prohibited items and conduct

You may not list, sell, buy, or transmit any item or content that violates our Prohibited Items Policy, infringes intellectual property, or violates law. You may not misuse the Service (fraud, scraping without permission, harassment, malware, circumventing security, or manipulating reviews).

6. Payments, refunds, disputes

Payments are processed by Stripe, Inc. Refunds, chargebacks, and disputes are handled under our Refund & Dispute Policy. You authorize us and Stripe to charge your payment method for amounts you owe.

7. Taxes (1099 reporting)

Sellers are responsible for all taxes on their sales. If you meet U.S. IRS thresholds we may be required to report your earnings on Form 1099-K and to collect your taxpayer information (SSN/EIN). Providing false tax information is grounds for termination.

8. User content

You retain ownership of content you upload. You grant woo a worldwide, royalty-free, non-exclusive, sublicensable license to host, display, reproduce, and distribute that content to operate and promote the Service. You represent that you have all rights necessary to grant this license.

9. Intellectual property; DMCA

woo, its logos, and its software are our property. We respect intellectual property rights and respond to notices that comply with the DMCA. See our DMCA Policy.

10. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that listings are accurate, that sellers will perform, or that the service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, dmax trust and its affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits, revenues, data, or goodwill. Our aggregate liability arising out of or relating to the service will not exceed the greater of (a) the total fees you paid us in the 12 months before the claim, or (b) usd $100.

12. Indemnification

You will indemnify and hold harmless woo from any claim, loss, or expense (including reasonable attorney fees) arising out of your use of the Service, your content, your transactions, or your violation of these Terms or law.

13. Governing law; venue

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Subject to Section 14, exclusive venue for any dispute is the state or federal courts located in Collier County, Florida, and you consent to their jurisdiction.

14. Arbitration and class waiver

Please read carefully. Except for small-claims matters and injunctive relief for IP, any dispute arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Collier County, Florida (or by video). You and woo each waive the right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration provision by emailing legal@dmaxtrust.com within 30 days of first accepting these Terms.

15. Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive (fees, IP, disclaimers, liability limits, arbitration, indemnity) will survive termination.

16. Changes

We may update these Terms. Material changes will be posted here with a new effective date and, when appropriate, notified in-app or by email. Continued use after changes means you accept them.
