Seller Agreement

Effective date: 8/5/2026

This Seller Agreement supplements the Terms of Service and applies to anyone who lists items for sale on woo.

1. Eligibility & subscription

To list items you must (a) be 18+, (b) maintain an active seller subscription (after the free trial), and (c) provide accurate business, tax, and payout information. False information may result in immediate suspension and withholding of funds pending investigation.

2. Listing standards

• Accurate title, description, condition, photos of the actual item, and price.
• No misrepresentation, counterfeits, or drop-shipping without disclosure.
• Comply with the Prohibited Items Policy.
• Respect intellectual property; do not use others' photos or brands without rights.

3. Fulfillment

Ship within the timeframe stated in your listing (default: 3 business days) with tracking. Communicate delays proactively. Failure to ship or provide tracking may cause automatic refunds and account penalties.

4. Fees & payouts

woo charges a platform fee of 6% per completed sale, plus Stripe processing fees. Payouts occur either (a) automatically via Stripe Connect when you complete KYC, or (b) manually by woo on the schedule shown in your Earnings dashboard. Balances may be held to cover pending disputes, refunds, or fraud investigation.

5. Taxes (IRS 1099-K)

You are solely responsible for collecting and remitting all taxes on your sales. If you meet IRS thresholds, we will report your earnings on Form 1099-K using the tax information you provide. You authorize us to collect and use your SSN or EIN for this purpose.

6. Refunds, chargebacks, disputes

You agree to abide by our Refund & Dispute Policy. Chargebacks and refunds are deducted from your balance; if the balance is insufficient, you owe the deficit and authorize us to charge your payment method on file.

7. Customer service

Respond to buyer messages within 2 business days. Excessive negative reviews, cancellations, or disputes may cause listing removal, feature limits, or account termination.

8. Prohibited seller conduct

No fee circumvention (moving transactions off-platform), no fake reviews, no coordinated pricing, no harassment of buyers, no scraping of buyer data. Violations may result in permanent ban and forfeiture of pending balances used to make injured buyers whole.

9. Independent contractor

You are an independent seller, not an employee, agent, joint venturer, or partner of woo. Nothing in this Agreement creates an employment relationship.

10. Termination

We may suspend, limit, or terminate your seller privileges at any time for violations of this Agreement, the Terms, or law. On termination, we may hold funds for up to 90 days to cover disputes.
